German Move for All3Media

LONDON, February 28: All3Media has made an offer to acquire
the German production company MME Moviement for 7 euros per share.

The acquisition is being facilitated by pertus Zehnte, a
wholly owned subsidiary of All3Media that is set to be renamed All3Media
Deutschland.

The British company said that the offer represents a premium
of 31 percent on the average share price of MME Moviement over the last three
months. All3Media has already secured about 42 percent of the company’s shares.
pertus Zehnte intends to launch a voluntary public tender offer for all shares
of MME Moviement at the same price.

The German production company’s credits include Zwei bei
Kallwass
for Sat.1, Das Quiz for ARD and the drama Polizeiruf 110 for NDR.

Steve Morrison, the CEO of All3Media, commented: “We are
very excited about the possibility to expand our business in the important
German TV market. MME Moviement has a very talented group of production
companies run in a similar creative culture to ourselves. For All3Media, this
is a milestone in our development towards an

international independent TV production group.”

The MME Moviement Management Board and Supervisory Boards
have declared their intention to support the planned takeover offer.

The deal comes shortly after German competition authorities
cleared the acquisition of ProSiebenSat.1 Media by KKR together with Permira,
which is All3Media’s majority shareholder.
