EchoStar Confirms Company Split

NEW YORK, January 2: EchoStar Communications Corporation has
separated into two publicly listed companies, one focused on its DISH Network
satellite broadcasting business and the other holding its set-top box business
and other assets.

EchoStar Communications Corporation will retain the DISH
Network pay-TV business and will be renamed DISH Network Corporation. EchoStar
Holding Corporation will hold the technology and certain infrastructure assets
of EchoStar Communications Corporation, including its set-top box business and
certain satellite assets.

Each shareholder of EchoStar Communications Corporation will
receive for each share of common stock held 0.20 of a share of the same class
of common stock of EchoStar Holding Corporation.
