Warner Bros. Discovery will hold a special meeting of shareholders to vote on the merger with Paramount Skydance Corporation on April 23.

Paramount Skydance has acquired Tyler Perry’s stake in BET+ and will fold it into Paramount+ at the beginning of June.

Hours after Warner Bros. Discovery’s board said that Paramount’s latest proposal is superior, Netflix declined to raise its offer, paving the way for Paramount to win the drawn-out battle.

Warner Bros. Discovery’s board of directors has determined that the revised Paramount proposal constitutes a “company superior proposal” as defined in its merger agreement with Netflix.

In the fourth quarter, Paramount’s total revenues grew 2 percent year-over-year to $8.1 billion, while profit loss grew to $573 million, compared to a loss of $224 million in the prior year’s Q4.

Warner Bros. Discovery has confirmed that it has received a revised offer from Paramount to acquire all of the outstanding shares of WBD common stock.

Paramount has reorganized its distribution and international networks leadership structure under Kevin MacLellan in a way that brings together its global content licensing, global transactional and international media networks businesses.

Paramount has revised its $30-per-share, all-cash offer for Warner Bros. Discovery to include a $0.25-per-share “ticking fee,” payable to WBD shareholders for each quarter its transaction has not closed beyond December 31, 2026.

Amavizion, a U.K. pay-per-view streaming platform for cord-cutters, Gen Z and Gen Alpha, has added more than 20 hours of programming from Paramount’s Ananey Studios.
