Changes to RTL Board Announced

LUXEMBOURG, December 10: Gunter
Thielen, the outgoing chairman and CEO of Bertelsmann, and Ewald Walgenbach
will step down from the Board of Directors of the RTL Group, effective December
31.

Thielen has been a member of the RTL Group Board since 2002.
His seat on the board will be taken up by Hartmut Ostrowski, the incoming
chairman and CEO of Bertelsmann, who takes up his new post January 1.

The other members of the board, led by Chairman Siegfried
Luther, are, Martin Taylor, vice chairman of the board; Günther Grüger, the
head of corporate controlling and strategy at Bertelsmann; Thomas Rabe, member
of the Executive Board, CFO and head of the Corporate Centre at Bertelsmann;
Onno Ruding, chairman of the Audit Committee of the RTL Group, chairman of the
board of the Centre for European Policy Studies and retired vice chairman and
director of Citibank; Jacques Santer, the chairman of the board of CLT-UFA; and
Gerhard Zeiler, the CEO of the RTL Group and Bertelsmann board member.
