Warner Bros. Discovery will hold a special meeting of shareholders to vote on the merger with Paramount Skydance Corporation on April 23.

HBO Max has now officially launched in the U.K. and Ireland, completely the platform’s European rollout, and in 12 territories across the Asia Pacific.

Hours after Warner Bros. Discovery’s board said that Paramount’s latest proposal is superior, Netflix declined to raise its offer, paving the way for Paramount to win the drawn-out battle.

Warner Bros. Discovery’s board of directors has determined that the revised Paramount proposal constitutes a “company superior proposal” as defined in its merger agreement with Netflix.

Total revenues at Warner Bros. Discovery slipped 7 percent year-over-year to $9.5 billion, with distribution, ad and content revenues all decreasing.

Warner Bros. Discovery has confirmed that it has received a revised proposal from Paramount Skydance Corporation for an increased price of $31 per share in cash, plus a daily ticking fee equal to $0.25 per quarter beginning after September 30.

Warner Bros. Discovery has confirmed that it has received a revised offer from Paramount to acquire all of the outstanding shares of WBD common stock.

Netflix has provided Warner Bros. Discovery (WBD) a limited waiver permitting it to engage in discussions with Paramount Skydance for seven days.

Paramount has revised its $30-per-share, all-cash offer for Warner Bros. Discovery to include a $0.25-per-share “ticking fee,” payable to WBD shareholders for each quarter its transaction has not closed beyond December 31, 2026.

HBO Max is set to make its U.K. and Ireland debut on March 26, bringing content from HBO, Warner Bros. Pictures, Warner Bros. Television, DC Studios and Max Originals to British and Irish viewers.
