RTL Exits Media Capital

LUXEMBOURG, February 2: RTL Group today confirmed
speculation that it is offloading its 33-percent interest in Portuguese media
outfit Grupo Media Capital to Grupo Prisa for 206 million euros in cash.

Prisa, which currently owns 33 percent of Media Capital,
issued the bid to take full control of the company in October 2006. The deal is
for 7.40 euros per share, below the company’s current share price of 8.30
euros. However, RTL acquired the stake in the Portuguese company for an average
of less than 5.80 euros per share, for a total cash investment of 161 million
euros.

Media Capital operates the terrestrial broadcaster TVI and
the producer NBP. It also owns radio, press and outdoor advertising operations.

Meanwhile, several press reports have speculated that RTL
will use the funds from the Prisa deal to make an investment in another
Portuguese media group, Impresa, which operates the broadcaster SIC.
